This document sets out the terms on which this website and the services offered through it are made available. It applies to every visitor to the site and to every organisation that registers an account, submits an enquiry or places an order.

The section will describe which entities, services and transactions the document governs, and how it interacts with any separate written agreement between the parties. Where a signed supply agreement exists, the order of precedence between that agreement and this document will be stated here.

Defined terms used throughout this document are listed in this section, together with their meanings. Terms such as "Buyer", "Supplier", "Goods", "Order", "Quotation", "Working Day" and "Confidential Information" carry the meanings assigned to them here wherever they appear capitalised.

Rules of interpretation are also recorded in this section, including the treatment of headings, the singular and plural, references to statutes as amended from time to time, and the effect of the words "including" and "in particular".

This platform is intended for business use. This section will set out who may register, what information is required at registration, and the basis on which an account may be verified, suspended or closed.

It will also record the account holder's responsibility for the security of login credentials, for the acts of authorised users added to a company account, and for keeping registered details such as address and tax registration current.

This section will describe the commercial sequence: how an enquiry is submitted, how a quotation is issued and for how long it remains valid, at what point a binding contract is formed, and the circumstances in which an order may be declined or amended.

Pricing, taxes, payment terms, credit arrangements and the treatment of price changes between quotation and despatch will be recorded here, along with the position on typographical or system errors in published pricing.

Delivery timelines, despatch methods, partial shipments and the treatment of delays outside reasonable control will be described in this section. Quoted lead times are estimates unless expressly confirmed otherwise in writing.

The point at which risk in the goods passes to the buyer, and the point at which title passes, will be stated separately here, as will the buyer's obligation to inspect goods on receipt and to report shortages or visible damage within a specified period.

This section will set out the circumstances in which an order may be cancelled, the treatment of goods procured to order or to a customer specification, and the process and timeline for returning goods.

Manufacturer warranty terms, the process for raising a warranty claim, and the exclusions that commonly apply to industrial components — including damage from incorrect selection, installation or operating conditions outside the rated envelope — will be described here.

The categories of personal and business information collected through the site, the purposes for which they are used, the legal basis for processing, and the periods for which records are retained will be described in this section.

It will also cover disclosure to service providers such as logistics and payment partners, the security measures applied to stored information, the treatment of technical data such as drawings and bills of materials submitted with an enquiry, and the rights available to individuals in respect of their personal data.

Limitations and exclusions of liability, the treatment of indirect and consequential loss, and any aggregate cap on liability will be recorded in this section, together with the exclusions that cannot lawfully be limited.

The governing law, the courts having jurisdiction, and any agreed dispute resolution process will be stated here. This section will also explain how changes to this document are made and notified, and from what date a revised version takes effect.
